HelpMe.ae's Terms of Service

Welcome to HelpMe.ae.

These Terms of Service (these “Terms”) govern your access to and use of the HelpMe.ae website and mobile applications, including any content, features, and services offered on or through helpme.ae and the HelpMe.ae mobile applications (collectively, the “HelpMe Platform” or the “Site”).

In these Terms, “HelpMe.ae”, “HelpMe”, “we”, “us”, or “our” refers to HELPME (FZE) and its subsidiaries (if any). “You” or “User” means any person who accesses or uses the HelpMe Platform.

Acceptance of Terms

Please read these Terms carefully before using the HelpMe Platform. By accessing or using the HelpMe Platform, creating an account, or clicking to accept these Terms when presented, you agree (on behalf of yourself, your employer, or any other entity you represent, if applicable) to be bound by these Terms, our Payment Terms (found here) and our Privacy Policy (found here), each of which is incorporated by reference.

If you do not agree, you must not access or use the HelpMe Platform.

If you use HelpMe on behalf of an organization, you represent and warrant that you have authority to bind that organization, and “you” includes that organization.

Eligibility

The HelpMe Platform is offered only to users who are at least 18 years old and of legal age to form a binding contract.

If you are under 18 but at least 13 years old, you may use the HelpMe Platform only through an account owned by a parent or legal guardian with appropriate permission.

If you are under 13, you may not use the HelpMe Platform.

Customer Support

Customer Support is available through the in-platform support features and other channels described on the HelpMe Platform.

Language

The official language of these Terms and other HelpMe Platform policies is English. Translations may be provided for convenience only. If there is any conflict, the English version prevails.

Key Terms

Capitalized terms used but not defined in these Terms have the meanings given in the Payment Terms and/or HelpMe.ae Business Terms (as applicable).

“Customer” (or “Buyer”) means a user who purchases Services through the HelpMe Platform, requests or receives Quotations, posts Inquiries, and/or enters into an Order or Contract with a Service Provider.

“Service Provider” (or “Seller”) means a user (individual or business) who offers and performs Services through the HelpMe Platform.

“Services” means the services offered by Service Providers to Customers through the HelpMe Platform, including direct-purchase Services and Quote-Based Services.

“Quote-Based Service” means a Service listing created by a Service Provider that allows Customers to submit requirements so the Service Provider can issue a Quotation through the HelpMe Platform.

“Inquiry” means a request posted by a Customer through the HelpMe Platform describing the service needed, including details such as requirements, budget, location, and deadlines.

“Quotation” means a price and/or scope offer issued by a Service Provider to a Customer through the HelpMe Platform in response to an Inquiry or a request submitted through a Quote-Based Service.

“Order” means a binding agreement between a Customer and a Service Provider created through the HelpMe Platform when a Customer purchases a Service directly from a Service Provider’s Service page.

“Contract” means a binding agreement between a Customer and a Service Provider created through the HelpMe Platform when a Customer accepts and pays a Quotation issued by a Service Provider, including where the Quotation is issued (i) in response to a request through a Quote-Based Service, or (ii) in response to a Customer Inquiry.

“Order/Contract Page” means the designated area where Customers and Service Providers can view and manage an Order or Contract, communicate, and take actions such as submitting or responding to a Completion Request (as applicable).

“Completion Request” means the request submitted by a Service Provider through the HelpMe Platform to mark an Order or Contract as completed, which the Customer may accept or decline (with a reason).

“HelpMe Wallet” means the wallet feature on the HelpMe Platform that Customers may use to make payments, subject to the Payment Terms.

“Business Account” means a business account created through HelpMe.ae Business, governed by the HelpMe.ae Business Terms of Service (found here).

“Business Account Admin” means the user designated as administrator of a Business Account.

“Business Account Team Member” (or “Team Member”) means any user added to a Business Account.

Overview (Main terms, in a nutshell)

Only registered users may buy or sell through HelpMe. Registration is free. You agree to provide accurate, complete, and up-to-date information and not to create an account for fraudulent or misleading purposes. You are responsible for activity under your account and for keeping your password secure.

Customers pay through the HelpMe Platform to create either an Order (direct purchase from a Service page) or a Contract (accepting and paying a Quotation).

Payments, refunds, payout timing, grace periods, payout cycles, chargebacks, and taxes are governed by the Payment Terms.

Service Providers must fulfill Orders and Contracts they accept and should not cancel frequently or without valid reason. Repeated cancellations may affect ranking, visibility, or account status.

Users may not offer, request, or accept payment outside the HelpMe Platform for transactions introduced through HelpMe.

Unless otherwise stated on the Service Provider’s Service page/description or in a Quotation, Customers generally receive intellectual property rights in delivered work upon full payment (see Ownership below).

Users must comply with HelpMe’s Community Standards and other policies referenced in these Terms.

Service Providers

Basics

Service Providers (also referred to as “Sellers”) create accounts on HelpMe.ae to offer and perform Services for Customers through the HelpMe Platform.

Each Service you successfully complete may credit you with Revenue based on the subscription plan applicable to you and any applicable fees or deductions. For payout timing, eligibility, holds, and related payment rules, please refer to the Payment Terms.

Service Provider ratings are calculated based on reviews submitted through the HelpMe Platform. In certain cases, consistently poor performance or exceedingly low ratings may lead to account restrictions or suspension.

Service Providers may not promote their HelpMe.ae account or HelpMe.ae content through the Google Ads platform.

For security, compliance, and fraud prevention, HelpMe.ae may temporarily restrict a Service Provider’s ability to receive payouts or change payout settings where we reasonably believe it is necessary (for example, suspected fraud, policy violations, or attempts to associate multiple HelpMe accounts with the same payout account), as further described in the Payment Terms.

Insurance (Recommended): Service Providers are strongly encouraged to maintain appropriate insurance coverage (including general liability insurance where relevant) sufficient to cover risks associated with performing their Services, especially for in-person/on-location Services.

Service Provider Account

HelpMe.ae may remove, restrict, suspend, or permanently disable Service Provider accounts for violations of these Terms of Service and/or our Community Standards.

Violations may include (without limitation):

Illegal or fraudulent Services

Adult-oriented Services, pornographic content, or inappropriate/obscene materials

Spam, deceptive, violent, or misleading content

Intentional copying, impersonation, or misrepresentation of identity

Misuse of platform tools, repeated misconduct, or prohibited usage

Repeatedly poor performance or consistently very low ratings

Promoting HelpMe.ae or HelpMe.ae accounts through activities that violate applicable law, regulations, or third-party terms, or that materially harm HelpMe’s relationships with users or partners

Reselling regulated or prohibited goods or Services (where prohibited)

Offering to prepare academic works on behalf of Customers where prohibited

Additional notes:

Accounts disabled for serious violations may not be eligible for restoration or editing.

Accounts may be removed from Search or subject to reduced visibility due to poor performance and/or misconduct.

HelpMe.ae may require account verification steps (including identity, business, or payout verification) as part of platform access, safety, or compliance requirements.

Service Listings

HelpMe.ae may remove, restrict, suspend, or permanently disable Service listings for violations of these Terms of Service and/or our Community Standards.

Violations may include (without limitation):

Listings that materially mislead Customers

Spam, deceptive, violent, or misleading listings or content

Intentional copying of other Service Provider listings

Reselling of regulated or prohibited goods or Services

Offering to prepare academic works on behalf of Customers where prohibited

Statements on a Service page that attempt to undermine or circumvent these Terms

Service listing media and accuracy:

Service Providers must use appropriate and relevant Service images (and, where available, approved videos).

Deliveries must reasonably match what is shown and described on the Service listing. Repeated mismatch may lead to enforcement actions, including listing removal and/or account action.

Types of Services

HelpMe supports multiple Service listing types. As of the “Last Update” date, Service Providers may create Services using one of the following listing types:

Simple Services: Offer one or more related services at one price (e.g., multiple related tasks included in a single Service).

Multi-option Service: List one main Service with flexible options and prices (e.g., a painting Service with different pricing tiers or add-on options).

Quote-Based Service: List a Service that captures leads, allowing the Service Provider to offer tailored quotations based on Customer needs.

HelpMe may add, modify, rename, or discontinue Service listing types from time to time, and the options available at the time of creating or editing a Service will be displayed on the HelpMe Platform.

Service Extras

Service Extras are optional add-ons offered on top of a base Service for an additional price set by the Service Provider.

Service Extras must be related to the base Service and consistent with what is being purchased.

Service Extras may be removed if they violate these Terms or the Community Standards. Violations in Extras may also result in action against the main listing or the Service Provider’s account.

Where the Platform allows, adding Service Extras may extend the duration or delivery timeframe of an Order to reflect the extra work required.

Shipping Physical Deliverables

Some Services may involve physical delivery (for example: arts and crafts, collectible items, or other tangible deliverables). Where a Service includes physical delivery:

The Service Provider may define shipping-related charges or pricing factors as allowed on the Platform.

Shipping-related charges should reflect shipping/handling-related costs and must be disclosed to the Customer before purchase.

Customers may be required to provide a shipping address (and other necessary delivery details) to complete the Order.

The Service Provider is responsible for packaging, shipment arrangements, and delivery execution.

Where available, providing tracking details through the Order page is strongly recommended and may be required by the Platform in certain cases.

HelpMe.ae does not handle shipping logistics and does not guarantee shipping outcomes (including delivery times, tracking accuracy, loss, damage, or condition of items). Any shipping-related issue may be addressed using HelpMe’s support tools and dispute processes as described in these Terms and the Payment Terms.

Service Providers remain responsible for complying with applicable shipping, customs, and import/export laws and requirements.

Customers

Basics

Customers (also referred to as “Buyers”) use HelpMe.ae to purchase Services from Service Providers through the HelpMe Platform.

You may not offer or accept payment outside the HelpMe Platform, and you may not request or encourage a Service Provider to transact off-platform. If you are asked to pay outside the HelpMe Platform, please report it to Customer Support.

HelpMe.ae may use publicly published delivered work and other permitted content for marketing and promotional purposes as described in these Terms (including the Ownership/User-Generated Content sections).

Inquiries, Quotations, and Contracts

HelpMe.ae may allow Customers to request Services by submitting an Inquiry (for example, through a “Request a Quotation” feature or through a Quote-Based Service). Inquiries must be used only for requesting legitimate Services available on HelpMe.ae and must comply with these Terms and Community Standards.

A Service Provider may respond to an Inquiry by issuing a Quotation through the HelpMe Platform. If a Customer accepts and pays a Quotation through the HelpMe Platform, a Contract is created.

Purchasing and Payment

Customers may purchase Services through the HelpMe Platform by either:

Creating an Order by purchasing a Service directly from a Service listing; or

Creating a Contract by accepting and paying a Quotation issued through the HelpMe Platform.

All payments, fees, refunds, chargebacks/disputes, taxes (including VAT where applicable), and cancellation rules are governed by the Payment Terms. Please refer to the Payment Terms for full details.

You agree to receive invoices and/or payment receipts electronically (including by email and/or through the HelpMe Platform).

Orders and Contracts

Once payment is confirmed, the relevant Order or Contract will be created and assigned a unique reference/ID on the HelpMe Platform.

Service Providers may submit a Completion Request through the HelpMe Platform when they consider the Service completed. Customers may accept or decline a Completion Request (with a reason) using the tools provided in the Order/Contract page. Repeated misuse of completion or dispute tools may result in account restrictions.

If you encounter an issue with a Service, you are encouraged to first communicate with the Service Provider using HelpMe’s in-platform messaging and support tools. If the issue cannot be resolved, you may contact Customer Support via the support feature related to the relevant Order or Contract. Refund and cancellation eligibility is described in the Payment Terms.

In-Person / On-Location Services

Some Services may require Customers and Service Providers to meet in person or for a Service Provider to perform Services at a Customer’s premises. In such cases:

HelpMe.ae does not guarantee the behavior, conduct, safety, suitability, or ability of any Customer or Service Provider.

Customers and Service Providers agree that the entire risk arising out of any in-person interaction remains solely with them.

HelpMe.ae has no responsibility or liability related to in-person/on-location Services, except as required by applicable law.

If a Service is performed at the Customer’s premises, Customers are encouraged to maintain appropriate insurance coverage as the premises owner.

Files, Deliverables, and Security

Users are responsible for scanning any files received through the HelpMe Platform for viruses and malware. HelpMe.ae is not responsible for damages caused by files transferred through the platform.

Where necessary to perform a Service, Customers may provide required information through the Order/Contract page. Customers should not request unnecessary personal data and should follow HelpMe.ae’s privacy and safety rules.

Reviews

Customer reviews and ratings are an important part of HelpMe.ae’s marketplace and reputation system. Customers may leave feedback only after completion, and only for (i) completed Orders and (ii) completed Contracts that were created through a Quote-Based Service.

Reviews must reflect genuine experiences from legitimate transactions performed through the HelpMe Platform. Any attempt to manipulate reviews (including artificial purchases to inflate ratings, coordinated review abuse, or using multiple accounts) may result in permanent suspension of related accounts.

Customers may not use reviews, ratings, or threats of negative reviews to demand additional Services, discounts, refunds, or off-platform payments.

Disputes, Support, and Cancellations

We encourage Customers and Service Providers to communicate and try to resolve issues directly through the HelpMe Platform (including the relevant Order or Contract page).

If you cannot resolve an issue, or if you encounter prohibited usage, you may contact HelpMe.ae Customer Support using the support feature available for the relevant Order or Contract. HelpMe may review the situation and take action in accordance with these Terms of Service, the Community Standards, and the Payment Terms.

Order and Contract cancellations, refunds, payout holds, chargebacks/disputes with payment providers, and other payment-related matters are governed by the Payment Terms. Where there is any conflict between these Terms of Service and the Payment Terms on a payment-related issue, the Payment Terms will control.

Community Conduct and Safety

HelpMe.ae is a marketplace that enables people in the UAE to discover, request, purchase, and provide Services. We aim to maintain a friendly, respectful, and professional environment. By using the HelpMe Platform, you agree to interact with other users in good faith and to comply with these Terms of Service and our Community Standards.

Respectful Communication

You must not use abusive, threatening, hateful, harassing, or violent language or behavior on the HelpMe Platform. This includes messages, reviews, files, images, and any other content you share through the platform.

HelpMe may take enforcement action (including warnings, restrictions, suspension, or removal) where user conduct violates these Terms or Community Standards.

Non-Discrimination

HelpMe.ae is open to everyone. You may not discriminate against other users based on gender, race, nationality, age, religion, disability, sexual orientation, or any other protected characteristic. Discriminatory conduct may result in account restrictions or suspension/removal.

Safety and In-Person/On-Location Services

Some Services may require in-person meetings or on-location work. Users remain responsible for acting safely and lawfully at all times. HelpMe.ae does not guarantee the conduct, safety, suitability, or ability of any Customer or Service Provider, and users should use good judgment when arranging or attending in-person Services.

Keep Issues in the Platform

If a problem occurs, users should use the HelpMe Platform tools (including order/contract support features and in-platform communications) to resolve disputes and to create a record for review if needed.

Reporting Misconduct

To report misconduct, safety concerns, or any violation of these Terms of Service or the Community Standards, contact HelpMe.ae Customer Support using the support feature related to the relevant Order or Contract (or any other reporting channel provided on the HelpMe Platform). Reports are reviewed to protect user privacy, and HelpMe may not share investigation outcomes with the reporting party.

Keeping Transactions On-Platform

HelpMe.ae is designed to support safe communication, verified payments, dispute handling, and accountability. To protect users and the integrity of the marketplace, you must keep transactions, communications, and payments within the HelpMe Platform.

No Off-Platform Payments (Non-Circumvention)

You may not offer, request, encourage, or accept payment outside of the HelpMe Platform for any Service or transaction that is initiated, discussed, or arranged through HelpMe.ae. This applies to Customers and Service Providers.

This includes (without limitation):

asking to be paid by cash, bank transfer, crypto, or any external payment method;

offering discounts or incentives to pay outside the platform;

moving an Order/Contract to a private arrangement after meeting through HelpMe.

If someone asks you to pay or be paid outside the HelpMe Platform, you should report it immediately through the support feature related to the relevant Order/Contract or via Customer Support.

Off-Platform Contact and Personal Information

To protect privacy and reduce fraud, users must not request, share, or require personal contact details for the purpose of moving communication off the platform or circumventing platform rules.

This includes (without limitation):

phone numbers, personal emails, Skype/IM usernames, social media handles, or messaging app IDs;

requests to “continue on WhatsApp,” “call me,” or “email me” to arrange payment or avoid HelpMe.

Allowed exception (Service Delivery): If exchanging certain personal information is strictly necessary to perform the Service (for example, a delivery address for a shipped item, or on-location instructions for an in-person Service), that information must be exchanged only through the HelpMe Platform (for example, within the relevant Order/Contract page or other designated in-platform tools). Users are responsible for minimizing what they share and sharing only what is necessary.

No Protection for Off-Platform Activity

HelpMe.ae does not provide protection or support for transactions, communications, disputes, or losses that occur outside the HelpMe Platform. If you choose to interact off-platform, you do so at your own risk.

Enforcement

Attempts to circumvent platform payment or communication rules may result in enforcement actions including warnings, restrictions, cancellation of Orders/Contracts, withholding of payouts, and account suspension or permanent removal, as permitted under these Terms, the Payment Terms, and the Business Terms.

Violations, Warnings, and Enforcement

HelpMe.ae may take enforcement action against any account, listing, content, Order, or Contract that violates these Terms of Service, the Community Standards, the Payment Terms, the Business Terms (where applicable), or any applicable law.

Reporting Violations

If you believe content or user activity violates these Terms or the Community Standards, you should report it using the reporting tools available on the HelpMe Platform or by contacting Customer Support.

HelpMe reviews reports to protect users and platform integrity. To protect privacy and safety, HelpMe generally does not share the details or outcome of internal investigations with other users.

Warnings

Users may receive a warning for violations of these Terms, Community Standards, or other prohibited usage. Warnings may be delivered by email and/or shown within the HelpMe Platform.

Warnings may not immediately restrict account activity, but repeated or serious violations may result in limitations, loss of privileges, reduced visibility, payout holds, suspension, or permanent removal.

Prohibited Usage (Non-Permitted Usage)

The following are examples of prohibited usage on HelpMe.ae. This list is not exhaustive.

Adult Services & Pornographic Content

Any exchange of adult-oriented or pornographic materials or services is prohibited.

Inappropriate Behavior & Language

Bullying, harassment, hate speech, threats, and abusive or violent messages are prohibited.

Communication on HelpMe.ae must remain professional and respectful.

Phishing, Malware, and Spam

Publishing or sending malicious content intended to compromise accounts, devices, or systems is prohibited.

Spamming or contacting users with irrelevant offers or messages not related to a legitimate Order/Contract is prohibited.

Privacy & Identity Violations

Posting or sharing another person’s private or confidential information is prohibited.

Any personal information required to complete a Service must be exchanged only through the HelpMe Platform.

Misrepresenting your identity or impersonating others is prohibited.

Fraud / Unlawful Use

Using HelpMe.ae for unlawful activity, illegal transactions, or fraud is prohibited.

Intellectual Property Infringement

Uploading, selling, or delivering content that infringes copyrights, trademarks, or other intellectual property rights is prohibited.

HelpMe may respond to valid notices of alleged infringement, including by removing content or taking enforcement action.

Abuse and Manipulation

Multiple Accounts

Users are generally limited to one active HelpMe account (and one active Business Account where applicable).

Creating additional accounts to bypass restrictions, gain unfair advantage, manipulate ratings, or mislead users is prohibited.

Mass account creation may result in disabling all related accounts.

Targeted Abuse

Creating accounts to harass or target other users (including through messaging, ordering, or reviews) is prohibited.

Selling Accounts

Buying, selling, or transferring HelpMe accounts is prohibited.

Review and Order Manipulation

Purchasing, arranging purchases, or using additional accounts to artificially increase ratings or manipulate reviews is prohibited.

Threatening reviews to coerce behavior or gain additional Services is prohibited.

Spamming or pressuring users to remove/modify reviews or cancel Orders in violation of policy is prohibited.

Defamation / Bad-Faith Ordering

Placing Orders with the intent to defame or harm competing Service Providers (including leaving bad-faith reviews) is prohibited and may result in review removal and account action.

Enforcement Actions

HelpMe may take any action it deems appropriate based on severity, frequency, and risk, including (without limitation):

issuing warnings;

removing or restricting content or listings;

canceling Orders/Contracts;

limiting messaging, purchasing, selling, or platform features;

reducing visibility in Search;

placing holds on payouts or requiring verification;

suspending or permanently disabling accounts.

Platform Rules, Security, and Acceptable Use

This section describes rules for using the HelpMe Platform, including restrictions that protect the security, integrity, and intellectual property of HelpMe and its users.

Platform Access and Security

You agree to use the HelpMe Platform only for lawful purposes and in compliance with these Terms of Service and all applicable laws.

HelpMe may implement security, compliance, and verification measures (including identity, business, or payout verification) and may restrict access to certain features if required for safety, compliance, fraud prevention, or platform integrity.

You are responsible for:

maintaining the confidentiality of your login credentials;

ensuring that access to your account is authorized; and

promptly notifying HelpMe if you suspect unauthorized access.

Prohibited Technical and Misuse Activities

You may not (and may not allow any third party to) do any of the following:

Copy or misuse the platform

Copy, transfer, adapt, modify, distribute, transmit, display, publish, reproduce, or create derivative works from any part of the Site or its content except as permitted by these Terms.

Reverse engineer

Reverse assemble, decompile, reverse engineer, or otherwise attempt to derive source code, underlying ideas, algorithms, structure, or organization of the Site or any related software.

Remove proprietary notices

Remove or alter copyright notices, trademarks, service marks, logos, or other proprietary rights notices.

Use unauthorized tools or automation

Use bots, scrapers, crawlers, spiders, automation software, hacks, “mods,” or unauthorized third-party software designed to access, monitor, extract data from, or modify the Site.

Bypass rate limits or attempt to overwhelm, overload, or disrupt platform services.

Access systems without authorization

Attempt to gain unauthorized access to any part of the Site, user accounts, databases, APIs, systems, or networks connected to the Site.

Interfere with platform security

Circumvent, remove, alter, deactivate, degrade, or thwart any technological measure used to protect the Site, its users, or its content.

Introduce harmful code

Introduce viruses, trojan horses, worms, logic bombs, malware, ransomware, or any other materials that are malicious or technologically harmful.

Disrupt service availability

Use the Site in any manner that could damage, disable, overburden, impair, or interfere with another user’s use or enjoyment of the Site.

Platform Intellectual Property

Except for the limited right to use the Site in accordance with these Terms of Service, HelpMe (and its licensors, where applicable) owns all rights, title, and interest in and to the Site, including all intellectual property rights.

Nothing in these Terms grants you any right to use HelpMe’s trademarks, logos, branding, or proprietary content except as explicitly permitted by HelpMe in writing.

HelpMe reserves all rights not expressly granted in these Terms.

Third-Party Links and Services

The Site may include links to third-party websites or services. HelpMe does not control and is not responsible for third-party sites, content, or services. Your use of third-party services is at your own risk and subject to the third party’s terms and policies.

Payment processing and payout services are provided by third-party Payment Services Providers as described in the Payment Terms.

Enforcement

Violations of this section may result in enforcement actions including (without limitation) warning, content removal, feature restrictions, payout holds, account suspension, and permanent disabling.

Confidentiality

This section explains how confidential information shared between Customers and Service Providers must be handled during an Order or Contract.

Confidential Information

During an Order or Contract, a Customer may share non-public information that is necessary for a Service Provider to perform the Services. This may include, for example, account access details, documents, business information, personal data, addresses, or other sensitive materials (“Confidential Information”).

Service Provider Obligations

Service Providers agree to treat any Confidential Information received from Customers as strictly confidential and to protect it with reasonable care.

Without limiting the generality of the above, Service Providers agree to:

Use limitation

Use Confidential Information only for the purpose of performing and delivering the Services under the relevant Order or Contract.

Non-disclosure

Not disclose Confidential Information to any third party, except where strictly necessary to perform the Services and only to the extent permitted by the Customer and applicable law.

Security and access control

Take reasonable steps to prevent unauthorized access to, or misuse of, Confidential Information, including limiting access to those who need it to perform the Services.

No unauthorized copying

Not copy, reproduce, store, or retain Confidential Information beyond what is reasonably required to perform the Services, and not retain it longer than necessary.

Return or deletion

Upon completion of the Order or Contract (or upon the Customer’s request where reasonably feasible), Service Providers should promptly delete or return Confidential Information, except where retention is required by law or necessary to defend legal claims.

Customer Responsibilities

Customers should share only the information reasonably necessary to perform the Services and should use the HelpMe Platform tools to exchange information and files wherever possible.

Platform Disclaimer

HelpMe does not guarantee the confidentiality of information shared outside of the HelpMe Platform. Sharing information off-platform may reduce HelpMe’s ability to assist in disputes and may expose users to additional risks.

User-Generated Content (UGC)

This section explains what user-generated content is, who is responsible for it, what HelpMe may do with it, and how reports/takedowns work.

What is UGC?

“User-Generated Content” (“UGC”) means any content submitted, uploaded, published, displayed, or otherwise made available on the HelpMe Platform by users (including Service Providers and Customers). UGC may include (without limitation): profile information, Service listings, descriptions, images, videos, messages, attachments, requirements, delivered materials, reviews, ratings, and any other content provided by users.

Responsibility for UGC

UGC is created by users, not by HelpMe. You are solely responsible for your UGC and for the consequences of posting, uploading, sending, storing, or sharing it.

HelpMe does not pre-screen all UGC and does not guarantee that UGC is accurate, lawful, non-infringing, safe, or appropriate. However, HelpMe may review, remove, restrict, or disable UGC at any time where we believe it is necessary (for example: to enforce these Terms, comply with law, respond to complaints, or protect users and the Platform).

Your promises when you post UGC

By uploading, posting, or otherwise providing UGC on the HelpMe Platform, you represent and warrant that:

You own the UGC or have all necessary rights, licenses, consents, and permissions to use it and to authorize HelpMe to host, display, distribute, and process it on the Platform; and

Your UGC (and HelpMe’s use of it as permitted by these Terms) does not and will not:

infringe or violate any intellectual property rights, proprietary rights, privacy rights, data protection rights, or publicity rights of any third party;

violate any applicable laws or regulations; or

violate any third-party policies or terms that apply to your use of that content.

Reporting UGC and enforcement

If you believe content on HelpMe violates these Terms, the Community Standards, or your rights (including intellectual property rights), you may report it through the reporting tools or by contacting Customer Support.

HelpMe may request additional information (such as proof of ownership or authorization) before taking action. HelpMe may remove, disable, or restrict reported content where appropriate. For privacy and safety reasons, HelpMe may not share the details or outcome of investigations with the reporting party.

No obligation to store UGC

HelpMe does not guarantee that UGC will be available, retained, or accessible. You are responsible for keeping your own copies of important content (subject to confidentiality, privacy, and platform rules).

Content quality disclaimer

HelpMe is not responsible for the content, quality, legality, or suitability of Services offered or delivered by Service Providers, or for communications between users. Users should use common sense and the Platform’s tools (reviews, ratings, reporting, and support features) when interacting and transacting.

Ownership and Intellectual Property

This section explains who owns the work and rights delivered through the HelpMe Platform, and how those rights are affected by payment status, cancellations, or disputes.

Transfer of Rights to Customers

Unless clearly stated otherwise on the applicable Service listing and/or Quotation, and subject to full payment, when a Service Provider delivers work to a Customer under an Order or Contract, the Customer will receive the intellectual property rights in that delivered work, including any copyright, to the extent permitted by applicable law.

Where applicable and permitted by law, the Service Provider agrees to assign to the Customer all right, title, and interest in and to the delivered work upon completion and full payment. Any transfer or assignment of rights is conditioned on full payment and is not effective if payment is canceled, reversed, refunded (in whole or in part), charged back, or otherwise not successfully settled.

Limits and Exceptions

The transfer of rights described above does not include:

any pre-existing materials owned by the Service Provider or third parties (including templates, tools, fonts, stock assets, or software) unless those materials are expressly included with a valid license for the Customer;

any third-party content included in the delivered work where the Service Provider does not have the right to transfer ownership (in such cases, the Customer receives only the rights granted under the applicable third-party license); or

any trademarks, logos, or proprietary rights of HelpMe.ae.

If the Service Provider’s listing and/or Quotation specifies different ownership terms (for example, licensing instead of assignment, limited usage rights, or additional terms for commercial use), those terms will apply and control for that Order or Contract.

Commercial Use and Additional Licenses

Some Services may include different rights depending on how the Customer intends to use the delivered work (for example, personal vs. commercial use). Where a Service Provider offers additional rights or a commercial-use license as a paid option (including through Service Extras or an equivalent feature), the Customer is responsible for purchasing the applicable option if required by the listing and/or Quotation.

If commercial-use terms are stated on the Service listing and/or Quotation, those terms apply and may not be retroactively changed after completion.

No Use Without Payment

Customers may not use, publish, distribute, or commercially exploit delivered work if payment is canceled, reversed, charged back, or otherwise not successfully settled. If payment is reversed after delivery (including due to a chargeback), the Customer must stop using the delivered work and, where reasonably feasible, remove it from any published or distributed materials.

Service Provider Warranties on Delivered Work

By delivering work through the HelpMe Platform, the Service Provider represents and warrants that:

the delivered work is original to the Service Provider or the Service Provider has sufficient rights and permissions to deliver it;

the delivered work does not knowingly infringe the intellectual property rights of any third party; and

where third-party materials are used (for example, stock images, music, fonts, or footage), the Service Provider has obtained the required licenses and will comply with the applicable license terms.

HelpMe Use of Public Content for Marketing

By using the HelpMe Platform, you agree that HelpMe.ae may display and use certain publicly available content for marketing, promotional, and product-related purposes, without compensation, to the extent permitted by applicable law.

This may include, for example: Service listing text, thumbnails, Service images, approved videos, public profile information, and other content that is publicly visible on the Platform. HelpMe will not use private messages or confidential materials for marketing.

If you wish to remove publicly displayed content from the Platform (for example, by deleting a listing), you acknowledge that removal may not be immediate and cached or archived displays may persist for a reasonable period.

Disclaimer of Warranties

YOUR USE OF THE HELPME PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE HELPME PLATFORM IS AT YOUR OWN RISK. THE HELPME PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE HELPME PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELPME.AE (INCLUDING HELPME (FZE), ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS) DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, OR THAT THE HELPME PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

WE DO NOT WARRANT OR REPRESENT THAT:

THE HELPME PLATFORM OR ANY CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE;

ANY DEFECTS OR ERRORS WILL BE CORRECTED;

THE HELPME PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR

ANY SERVICE PROVIDED BY A SERVICE PROVIDER WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

HELPME.AE IS NOT A PARTY TO AGREEMENTS BETWEEN CUSTOMERS AND SERVICE PROVIDERS, AND DOES NOT PROVIDE, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY SERVICE LISTED, OFFERED, OR DELIVERED BY A SERVICE PROVIDER, OR FOR ANY COMMUNICATIONS, DISPUTES, OR INTERACTIONS BETWEEN USERS.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Machine Translation

Certain content on the HelpMe Platform may be translated automatically for your convenience using machine translation services (for example, services provided by third parties such as Amazon or Google). Machine translation is provided “as is” and is intended to help users understand content; it is not guaranteed to be accurate, complete, or error-free.

No Warranty for Translations

Because automated translation may contain inaccuracies, HelpMe.ae makes no warranties of any kind (express or implied) regarding translated content, including any warranties of accuracy, reliability, merchantability, fitness for a particular purpose, or non-infringement.

English Version Controls

The official language of the HelpMe Platform and these Terms is English. If there is any conflict between the English version and a translated version of any content or policy, the English version will prevail.

Limitations

Some content may not be translated, may be translated only partially, or may not translate correctly due to limitations of machine translation tools (including certain images, videos, formatting, or technical content).

User Responsibility

You remain responsible for understanding and complying with the English version of the content, policies, and any applicable legal obligations. If you have questions about the meaning of any translated text, you should refer to the English version and/or contact Customer Support through the HelpMe Platform.

HelpMe Points

HelpMe.ae may offer “Points” to Service Providers as a platform feature that enables access to, and participation in, certain opportunities on the HelpMe Platform, including applying to Inquiries where a Points requirement is shown. (Posting an Inquiry does not require Points unless the Platform expressly states otherwise.)

Types of Points

Points may be made available either (i) as part of a subscription plan at no additional charge (“Free Inquiry Points”), and/or (ii) through separate purchase on the HelpMe Platform (“Purchased Points”). Points may be displayed as a single combined balance.

Renewal and Availability

Free Inquiry Points may renew at each applicable subscription billing cycle (monthly or yearly, as applicable). Where Free Inquiry Points renew, the renewed amount may replace or override any unused Free Inquiry Points remaining from the prior cycle.

Purchased Points are not affected solely by subscription renewal, cancellation, expiration, or reactivation, and generally remain available until used, subject to any rules shown on the HelpMe Platform.

Using Points for Inquiries

Certain Inquiries may require a specified number of Points to apply. When a Service Provider applies to an Inquiry, the required Points will be deducted from the Service Provider’s Points balance. Where Free Inquiry Points and Purchased Points are combined in one balance, HelpMe.ae will generally deduct Points from Free Inquiry Points first, and then from Purchased Points if additional Points are required.

Payment Terms and Changes

Any payment-related issues regarding Points (including purchases, reversals, refunds where applicable, or disputes) are governed by the Payment Terms.

HelpMe.ae may change Points availability, pricing, renewal behavior, Points requirements for Inquiries, and related rules from time to time. The rules displayed on the HelpMe Platform at the time of use will apply.

No Cash Value; Final Sale

Points have no cash value, are not legal tender, and are not redeemable or exchangeable for cash or cash equivalents, except where required by applicable law. Purchases of Points are final and non-refundable, except where required by applicable law or where HelpMe expressly states otherwise on the HelpMe Platform.

Coupons and Promotions

HelpMe.ae may offer coupons, discounts, or promotional campaigns from time to time (“Coupons”). Coupons may be subject to additional rules, including eligibility requirements, limitations, and expiry or campaign periods, as shown on the HelpMe Platform at the time of booking.

Use of Coupons is governed by separate HelpMe.ae Coupon Terms (found here) (the “Coupon Terms”), which are incorporated into these Terms by reference. If there is any conflict between these Terms and the Coupon Terms regarding Coupons, the Coupon Terms will control.

Referral Program

HelpMe.ae may offer a referral or affiliate program (the “Referral Program”) that allows eligible users to earn rewards, credits, discounts, commissions, or other benefits for referring new users (such as Customers and/or Service Providers) to the HelpMe Platform.

Separate Terms Apply

The Referral Program is governed by separate Referral Program terms and any rules, eligibility requirements, and reward conditions displayed on the HelpMe Platform (the “Referral Terms”). The Referral Terms are incorporated into these Terms by reference. If there is any conflict between these Terms and the Referral Terms, the Referral Terms will control for matters related to the Referral Program.

Eligibility and Rewards

Eligibility to participate, how referrals are tracked, and how rewards are calculated and paid (including any limits, payout thresholds, or timing) will be defined in the Referral Terms and/or shown on the HelpMe Platform. HelpMe.ae may require identity, business, and/or payout verification before issuing rewards.

Prohibited Conduct

You may not misuse the Referral Program. Prohibited conduct includes (without limitation):

creating fake accounts or self-referrals;

using multiple accounts to claim rewards;

spamming, unsolicited marketing, or misleading claims about HelpMe.ae;

buying, selling, or transferring referral codes/accounts;

using the Referral Program in a way that violates applicable law, third-party terms, or these Terms (including the non-circumvention rules).

HelpMe.ae may reverse, withhold, or cancel rewards where it reasonably believes there has been fraud, abuse, error, chargebacks, policy violations, or other improper activity.

Changes, Suspension, and Termination

HelpMe.ae may modify, suspend, or terminate the Referral Program at any time, with or without notice, to the extent permitted by applicable law. HelpMe.ae may also suspend or disable your participation if it believes you have violated the Referral Terms or these Terms.

Changes to These Terms

HelpMe.ae may update or modify these Terms of Service from time to time.

How Updates Are Posted

When we make changes, we will post the updated Terms on the HelpMe Platform and update the “Last Update” date at the top of the Terms (or provide another notice method where required by applicable law).

When Changes Take Effect

Unless otherwise stated, changes become effective when posted.

If a change is material, we may provide additional notice (for example, through an in-platform notice or email), to the extent required by applicable law.

Continued Use Means Acceptance

By continuing to access or use the HelpMe Platform after the effective date of any updated Terms, you agree to be bound by the updated Terms.

If you do not agree to the updated Terms, you must stop using the HelpMe Platform and may close your account (subject to any obligations that must survive termination, such as payment disputes, refunds, chargebacks, and compliance with applicable law).

Account Closure and Survival

You may stop using the HelpMe Platform at any time. HelpMe may suspend or terminate access to the HelpMe Platform (including accounts, listings, or features) as permitted under these Terms, the Community Standards, and applicable law. Provisions that by their nature should survive termination will survive, including (without limitation) payment-related obligations and disputes, refunds, chargebacks, intellectual property and ownership terms, confidentiality, disclaimers, limitation of liability, and this “Changes to These Terms” section.

Governing Law and Jurisdiction

These Terms (and any dispute, claim, or controversy arising out of or relating to the HelpMe Platform, these Terms, the Payment Terms, or any Order or Contract) are governed by and construed in accordance with the laws of the United Arab Emirates, as applicable.

To the maximum extent permitted by applicable law, you agree that the courts of the United Arab Emirates will have exclusive jurisdiction to hear and determine any dispute arising out of or relating to these Terms or the HelpMe Platform, and you submit to the personal jurisdiction of those courts.

Nothing in this section limits any rights you may have under applicable consumer protection laws, or prevents HelpMe.ae from seeking injunctive or other equitable relief in any court of competent jurisdiction.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HELPME.AE, HELPME (FZE), ITS AFFILIATES, OR THEIR RESPECTIVE LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE HELPME PLATFORM, ANY LINKED WEBSITES, ANY CONTENT ON THE HELPME PLATFORM OR SUCH OTHER WEBSITES, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE HELPME PLATFORM OR SUCH OTHER WEBSITES, INCLUDING ANY:

INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF GOODWILL, OR LOSS OF ANTICIPATED SAVINGS;

LOSS OF USE OR LOSS OF DATA;

BUSINESS INTERRUPTION; OR

PERSONAL INJURY, PAIN AND SUFFERING, OR EMOTIONAL DISTRESS,

WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, STRICT LIABILITY, OR OTHERWISE, EVEN IF FORESEEABLE AND EVEN IF HELPME.AE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELPME.AE (INCLUDING ITS AFFILIATES) ASSUMES NO LIABILITY FOR:

THE ACTS OR OMISSIONS OF ANY CUSTOMER OR SERVICE PROVIDER, INCLUDING THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY SERVICES;

ANY DISPUTE, CLAIM, OR DAMAGES ARISING BETWEEN USERS;

ANY CONTENT POSTED, UPLOADED, OR SHARED BY USERS (INCLUDING USER-GENERATED CONTENT);

ANY OFF-PLATFORM COMMUNICATIONS OR TRANSACTIONS; OR

ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT OR DATA.

IF, NOTWITHSTANDING THE FOREGOING, HELPME.AE IS FOUND LIABLE FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE HELPME PLATFORM OR THESE TERMS, HELPME.AE’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT OF FEES PAID BY YOU TO HELPME.AE (IF ANY) FOR THE USE OF THE HELPME PLATFORM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) AED 500 (FIVE HUNDRED UAE DIRHAMS).

(THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.)

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
